Welcome to the website and platform ("Site") of Litmus Holdings, Inc. ("Litmus," "Company," "we," "us," or "our"). By accessing or using our Site and services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, please do not access or use our Services.


1. Acceptance of Terms


1.1 Binding Agreement. These Terms, together with our Privacy Statement and (if applicable) the Subscriber Master Services Agreement, form a legally binding agreement between you and Litmus. By using our Services, you confirm that you have read, understood, and agree to these Terms.

If you become a paying subscriber, your relationship with Litmus will also be governed by the Subscriber Master Services Agreement. In the event of a conflict between that agreement and these Terms, the Subscriber Master Services Agreement shall control.


1.2 Changes to Terms. We may modify these Terms with sixty (60) days advance written notice via email or in-app messaging. Material changes affecting core service functionality or liability allocation require ninety (90) days notice. Continued use of the Services after the notice period constitutes acceptance of the modified Terms.


2. Services Overview


2.1 Platform Description. Litmus provides access to a property and casualty insurance advisory platform, including informational coverage analysis, claims support, and educational tools. Litmus does not sell insurance, represent insurers, or earn commissions. The Services utilize artificial intelligence and machine learning for policy analysis, automated recommendations, and coverage optimization. Users are responsible for verifying all AI-generated outputs.


2.2 Website Services. By accessing the website, users may explore platform features, submit general inquiries, and access publicly available tools or resources. Subscription enrollment, claims support, or any personalized guidance are governed by the Subscriber Master Services Agreement. The Services may integrate with third-party services to automatically retrieve your policy information with your authorization.


2.3 Service Limitations & Disclaimers. Our Services are for informational and advisory purposes only. We do not provide legal, tax, or financial advice.
We do not handle, negotiate, or settle insurance claims. Conversations with our representatives may be recorded for quality assurance and training purposes.
We do not guarantee coverage outcomes or claim approvals.
We are not licensed insurance brokers or agents.


3. Eligibility & Use


3.1 Eligibility. You must be at least 18 years old to use this Site. By accessing the Site, you represent that you meet this age requirement.


3.2 Prohibited Uses. You agree not to:

  • Use the Site for unlawful purposes

  • Interfere with the functionality or security of the Site

  • Share your login credentials

  • Upload malicious content or software

  • Attempt to reverse engineer any aspect of the Site


4. Intellectual Property


4.1 Ownership. All content, software, and features on the Site are the property of Litmus or its licensors and protected under intellectual property laws.


4.2 License. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes.


5. Data & Privacy

Your use of the Site is subject to our Privacy  Statement, which explains how we collect, use, and protect personal information. By using our Site, you consent to those practices.  If you access Services through an Enterprise Advisor, certain usage and insurance data may be shared with your advisor. We collect usage data to improve our platform. This data may be anonymized and aggregated for product development. Customer Data is retained for 30 days following account termination, as detailed in our Privacy Statement and applicable Master Services Agreement.


6. Payment and Billing Terms

Subscription pricing, billing, and claims support fees are governed solely by the Subscriber Master Services Agreement and any applicable Order Form. These Terms of Use govern website access and do not override the terms set forth in your subscription agreement.


6.1 Cancellation and Refunds. Cancellation and refund policies for subscribers are defined in the Subscriber Master Services Agreement. These Terms do not modify or override any provisions related to cancellations or billing disputes.


7. Disclaimers & Warranties


7.1 As-Is Basis. Our Site is provided “as is” and “as available,” without warranties of any kind, either express or implied. We disclaim any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.


7.2 No Responsibility for Carriers. We are not responsible for the decisions, actions, or outcomes determined by insurance companies.


8. Limitation of Liability

To the maximum extent allowed by law, Litmus shall not be liable for any indirect, incidental, or consequential damages arising from use of the Site.
Our maximum liability shall not exceed the greater of $100 or the total fees you paid in the preceding twelve (12) months.


9. Indemnification

You agree to indemnify and hold harmless Litmus and its affiliates from any third-party claims or damages arising from your misuse of the Site, violation of these Terms, or any illegal activity involving your account.


10. Termination

Litmus may suspend or terminate your access to the Site at any time for violation of these Terms or applicable laws. You may stop using the Site at any time.


11. Governing Law & Disputes

These Terms are governed by the laws of the State of California. Disputes arising under these Terms shall be resolved through good faith negotiation or, if necessary, arbitration in California under AAA rules.


12. Miscellaneous


12.1 Entire Agreement. These Terms and our Privacy Statement constitute the entire agreement for website users. For subscribers, these Terms supplement the Subscriber Master Services Agreement, which governs subscription-related matters.
